Terms and Conditions

Introduction and Acceptance

Subitize operates as a digital venue facilitating peer-to-peer item swaps between registered users. By accessing or using this Platform, you agree to comply with these Terms and Conditions in full. Continued use after revisions constitutes acceptance of updated terms. We reserve the right to modify these Terms at any time.

Definitions

  1. User: Any individual or entity registered on the Platform.
  2. Swap: An exchange of items initiated through the Platform.
  3. User-Generated Content (UGC): Item listings, descriptions, media, or communications uploaded by Users.
  4. Prohibited Items: Goods restricted under Section 4.

User Responsibilities

1. Account Creation and Management

  • Users must provide accurate information during registration, including a valid email, username, and password.
  • Accounts are non-transferable. Sharing login credentials violates these Terms.

2. Swapping Process

  • Users initiate swaps by proposing item exchanges. The Platform does not mediate disputes, logistics, or fulfillment.
  • Contact information (phone, WhatsApp, social media handles) shared between Users is done at their sole risk. The Platform disclaims liability for off-platform interactions.

3. Content Standards

  • UGC must not:
    • Promote illegal activities, hate speech, or harassment.
    • Infringe third-party intellectual property (IP) rights.
    • Contain false or misleading claims.
  • Users grant the Platform a non-exclusive, royalty-free license to host and display UGC.

Prohibited Items and Conduct

The Platform expressly prohibits swaps and items involving:

  • Controlled substances (drugs, pharmaceuticals without prescriptions).
  • Alcohol, tobacco, or vaping products.
  • Weapons, including firearms, knives, or replicas.
  • Pornographic or Adult content
  • Hazardous materials.

Violations may result in account termination and reporting to authorities.

Intellectual Property

  1. User Content: Users retain ownership of UGC but grant the Platform a global license to store, display, and modify it for operational purposes.
  2. Platform IP: All code, logos, and design elements are the Platform’s exclusive property. Unauthorized use may lead to legal action.

Disclaimers and Liability Limitations

1. Service "As-Is"

The Platform provides no warranties regarding:

  • Item quality, safety, or legality.
  • Uninterrupted service or error-free functionality.

2. Third-Party Services

  • Hosting, storage and other categories of providers operate under their own terms. The Platform disclaims liability for their outages or data breaches.

3. User Indemnification

Users agree to indemnify the Platform against claims arising from:

  • Breaches of these Terms.
  • Misuse of contact information or off-platform swaps.

Data Protection

  1. Collected Data: Usernames, emails, passwords, and optional item details (location, media). Contact information shared voluntarily.

Governing Law and Disputes

  1. Jurisdiction: These Terms are governed by English law. Disputes must be resolved in courts of England and Wales.

Amendments and Termination

  1. The Platform may update these Terms, with material changes at any time.
  2. Accounts may be terminated for breaches, with Users retaining no recourse to recover UGC.
